1. Agreement
These Terms of Use (“Terms”) govern your access to and use of 9struct.com and other public web pages we operate that link to these Terms (the “Sites”). By accessing or using the Sites, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Sites.
Use of our software products (such as the Dirghayu platform) is governed by separate product terms presented when you register or access those services. See Dirghayu.AI for product information.
2. Changes
We may modify the Sites or these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. Continued use after changes constitutes acceptance of the revised Terms.
3. Permitted use
You may use the Sites only in compliance with these Terms and applicable law. You agree not to:
- Use the Sites in any way that violates law or third-party rights;
- Attempt to gain unauthorized access to our or others’ systems, accounts, or networks;
- Probe, scan, or test the vulnerability of the Sites without authorization;
- Introduce malware, overload infrastructure, or interfere with proper operation;
- Use automated means (bots, scrapers) to access the Sites in a manner that impairs or competes with us, except as allowed by robots.txt or our written consent;
- Impersonate any person or misrepresent your affiliation;
- Harvest or collect information about others without consent.
4. Content and information
The Sites may describe our ventures, healthcare partnerships, and technology direction. Such content is for general information only, is not an offer to sell securities or a solicitation where prohibited, and does not constitute clinical, legal, or professional advice. Business arrangements are subject to separate written agreements.
5. Intellectual property
The Sites, including text, graphics, logos, and layout, are owned by 9Struct or our licensors and are protected by copyright, trademark, and other laws. You may view and print a reasonable number of copies for personal, non-commercial use. You may not copy, modify, distribute, publicly display, or create derivative works except as permitted by law or with our prior written consent.
6. Third-party links
The Sites may link to third-party websites or services. We are not responsible for their content, practices, or policies. Accessing third-party links is at your own risk.
7. Disclaimer of warranties
THE SITES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL 9STRUCT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SITES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) FOR ACCESS TO THE SITES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
9. Indemnity
You will defend, indemnify, and hold harmless 9Struct and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Sites or violation of these Terms, except to the extent caused by our willful misconduct.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy.
11. General
Entire agreement. These Terms and the Privacy Policy constitute the entire agreement regarding the Sites.
Severability. If any provision is held invalid, the remainder remains in effect.
Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
No waiver. Failure to enforce a provision is not a waiver.
12. Governing law and disputes
These Terms and any dispute, claim, or controversy arising out of or relating to the Sites or these Terms shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts of British Columbia, Canada.
